GENERAL TERMS AND CONDITIONS

ARTICLE 1: GENERAL TERMS AND CONDITIONS

1.1 PURPOSE

JEFF DE BRUGES DIFFUSION (hereinafter referred to as “Jeff de Bruges”) is a SAS or simplified joint-stock company with a capital of 16,000,000 euros, with its head offices at Parc du Bel Air, 12 Avenue Joseph Paxton, 77164 Ferrières en Brie, FRANCE. It is registered with the Meaux Trade and Companies Register under number 449 989 947.

These General Terms and Conditions (the “Conditions”) govern all relations between the JEFF DE BRUGES DIFFUSION company and customers of its “www.jeff-de-bruges.com” website (the “site” or the “website”), which allows products to be ordered for collection at Jeff de Bruges stores that offer the Click & Collect service or for home delivery.

Full adherence to these Conditions, which are described in the fourteen articles below, is a necessary and indispensable requirement for the placing of orders.

Consequently, purchasers may not object to any of its clauses, the placing of an order being taken as the express acceptation thereof.

These Conditions therefore govern relations between Jeff de Bruges and all adult natural persons and all legal entities, on the occasion of the sale of products offered on the Jeff de Bruges site, for delivery to countries listed under Article 6 of these Conditions. It is, however, stipulated that the provisions of the French Consumer Code included in these General Terms and Conditions will not apply to public or private legal entities, whether or not they are acting for professional purposes, or to natural persons acting for purposes that fall within their commercial, industrial, artisanal, professional or agricultural activities, including when they are acting in the name of or on behalf of another professional, in accordance with the preliminary article of the French Consumer Code.

The Purchaser will be referred to as “you” in this document.

1.2 CUSTOMERS’ FULL CAPACITY

You acknowledge that you have the full capacity to commit yourself to these Conditions when you place orders on the Jeff de Bruges site.

1.3 CUSTOMER IDENTIFIERS AND ACCOUNTS

When you place your first order, you select and enter a username and a password. The system then checks the uniqueness of the identifier. This strictly confidential password will be requested at each transaction.

You undertake to look after your identifier. You must report any loss immediately and in writing, in order to avoid liability.

If you lose or forget your password, you can click on the “Forgot password” link and enter your email address. You will receive an email containing a link enabling you to set a new password once your email address has been recognised.

You also have the option of placing an order without creating a customer account. You will then be asked solely for the information required for such an order.

1.4 CHANGES TO THE GENERAL TERMS AND CONDITIONS

Given the possibility of the site changing, Jeff de Bruges reserves the right to adapt or modify these Conditions at any time. The new General Terms and Conditions will, if applicable, be brought to the attention of the customer through their online modification, and they will be applicable only to sales made after such changes are introduced.

ARTICLE 2: JEFF DE BRUGES PRODUCTS

The list and characteristics of products offered on the Jeff de Bruges site are liable to be modified and adapted at any time so as to meet your requirements more effectively and/or according to available stocks.

Product information can be accessed by clicking on the description or photograph of the product. Although not exhaustive, these details are intended to provide you with as much information as possible about the products’ essential characteristics.

The products offered on the site comply with French legislation and with the standards applicable in France.

The products are offered for sale, at the prices and under the conditions mentioned, as long as they are displayed on the site (while stocks last).

ARTICLE 3: THE PRICES OF JEFF DE BRUGES PRODUCTS

The selling prices of products marketed on the site are expressed in euros and are inclusive of all taxes (TTC), but do not include personalisation or shipping costs. They include current French VAT. Any changes to the French VAT rate will immediately be reflected in our prices.

The prices invoiced are those effective on the day the order is placed.

If you have created a customer account (“Online sales account”), a validation email containing a summary of your order will be sent to you and your invoice will also be available on your customer account from the date your order is dispatched. You can download and/or print it from the “My Orders” section.

In the absence of an online sales account, a validation email containing a summary of your order will be sent to you when your order is dispatched.

The commercial offers referred to on the Site are only valid for the products indicated on the Site (except for 20% discount offers on chocolate bars, chocolate bites and 250g chocolate spreads also valid in Jeff de Bruges member shops listed in the Boutiques Jeff Club 2020 2021 [PDF — 107 Kb]) and subject to available stocks. Such offers are not cumulative and cannot be combined with any other offer or loyalty programme currently on the Site.

ARTICLE 4: PLACING AN ORDER

4.1 REGISTERING AN ORDER

Online orders can only be placed via the site which displays a selection of Jeff de Bruges products.

Orders placed by post or telephone are not recognised.

A summary of all the products being ordered on the site is provided (your basket) before you are invited to confirm your order by selecting your Click & Collect store or by specifying an address for home delivery.

Paying for your products finalises your order. It can therefore no longer be cancelled or modified, subject to the application of Article 4.3 below.

For orders of personalised products, personalisation is limited to the number of characters available on the Jeff de Bruges site.

4.2 THE VALIDATION AND PREPARATION OF ORDERS

Jeff de Bruges will notify you regarding the validation of your order. This validation will be sent to you via an email containing your order number.

All the details you provide when placing an order are binding, in particular those concerning the recipient of the order (name, address, etc.), and Jeff de Bruges cannot be held responsible for any anomalies generated as a result, in the event that the company should be unable to fulfil and complete an order due to such anomalies.

Occasionally, due to limited stocks, we may be unable to validate your order. In this case, you will receive an email informing you that your order has not been validated and detailing the full refund to be paid within 14 working days via the means of payment used when you placed your order.

4.3 THE CONSUMER PURCHASER’S RIGHT OF WITHDRAWAL

4.3.1. In accordance with Articles L. 221-18 et seq. of the French Consumer Code, “consumer” purchasers — within the meaning of the preliminary Article of the French Consumer Code — have a period of fourteen (14) clear days, from receiving any product ordered on the Jeff de Bruges site within which to exercise their right of withdrawal in order to obtain a refund. Purchasers do not have to justify their reasons or pay penalties.

The right of withdrawal may be exercised with Jeff de Bruges before the expiry of this period of fourteen (14) clear days, by means of a clearly worded letter sent to this address: JEFF DE BRUGES — Service Consommateurs — Parc du Bel Air, 12 avenue Joseph Paxton – 77164 Ferrières-en-Brie — FRANCE, or by means of the withdrawal form, a template of which can be found in Appendix 1 of these Conditions. An acknowledgement of receipt of this withdrawal form will then be sent by Jeff de Bruges. After the expiry of the aforementioned period of fourteen (14) clear days, withdrawal requests will no longer be accepted.

4.3.2. It should be noted that all products ordered on the site by “consumer” purchasers, within the meaning of the preliminary Article of the French Consumer Code, may be subject to the right of withdrawal, with the exception of products referred to in Article L. 221-28 of the French Consumer Code. Indeed, according to this Article, the right of withdrawal may not be exercised for such contracts as (i) the supply of clearly personalised goods or those made to a consumer’s specifications, (ii) the supply of goods liable to deteriorate or rapidly pass their use-by date and (iii) the supply of goods which have been unsealed by a consumer following delivery and which cannot be returned for hygiene or health protection reasons.

4.3.3. Regarding products that may be subject to the right of withdrawal: purchasers must return them sealed, unopened and untouched, in their original packaging and accompanied by proof of purchase, within fourteen (14) days of communicating their decision to withdraw, to this address: JEFF DE BRUGES – Service Consommateurs – Parc du Bel Air, 12 avenue Joseph Paxton – 77164 Ferrières en Brie — FRANCE. Purchasers are responsible for the cost of returning products.

4.3.4. In the event of the right of withdrawal being exercised under the conditions of this Article, the price of the returned product(s) – as well as the standard delivery costs of the initial order – will be refunded to the purchaser, but not the costs of the return. Refunds will be made by Jeff de Bruges via the same means of payment used by the purchaser when the initial order was placed, within fourteen (14) days from the date on which Jeff de Bruges was informed of the purchaser’s decision to withdraw. Jeff de Bruges may nevertheless withhold refunds until purchasers have provided proof of shipment for returned products, or until such products have been recovered if this occurs before the aforementioned proof has been provided.

4.3.5. It is expressly understood that, in accordance with Article 1 of these General Terms and Conditions, the right of withdrawal laid down in Articles L. 221-18 et seq. of the French Consumer Code does not apply to public or private legal entities, whether or not they are acting for professional purposes, or to natural persons acting for purposes that fall within their commercial, industrial, artisanal, professional or agricultural activities, including when they are acting in the name of or on behalf of another professional.

ARTICLE 5: PAYING FOR ORDERS

Online payment is to be made in euros at the time of placing an order, and for the full amount. Payments can be made using bank cards (Carte Bleue, VISA, Mastercard and American Express) or via Paypal.

In order to provide you with a highly reliable and secure service, we have chosen the Ingenico Payment Services payment system. Entries are encrypted (SSL encryption) for safe and confidential operation. No payment data is stored on our site. Your payment request is sent in real time to the Ingenico Payment Services secure payment system which ensures that your bank card is valid (no input error, no refusal), confirms the registration of your payment by issuing you with a transaction number, or informs you that the transaction has been refused. The full amount of your order is then debited from your account.

ARTICLE 6: GENERAL TERMS AND CONDITIONS OF PRODUCT DELIVERY SERVICES

When placing an order you may be offered a number of shipping services, depending on the products you are ordering and subject to certain conditions set out below: collecting your order at a store (“Click & Collect” service) or two methods of home delivery: either delivery by courier or home delivery (Colissimo or Chronopost).

Depending on the products you order, the shipping services available are represented by an icon on the product sheet for each product.

6.1. Home delivery

6.1.1. Conditions

Regarding home delivery, ordered products will be delivered within Metropolitan France (including Corsica) and within certain European countries (see Article 6.1.3.1 of these Conditions). Delivery takes place according to the deadlines indicated for each method of delivery and to the address you provided when you placed your order on the site. Delivery consists in supplying the ordered product to the address you have indicated.

6.1.2. Delivery deadlines

In principle, delivery deadlines are those mentioned in these Conditions.

However, when placing an order you may be given different delivery deadlines, in particular during periods of peak activity (Christmas and New Year, Easter, etc).

In any event, in cases of force majeure, the delivery deadline you are given may be extended. If the products you order are not delivered within the specified deadline, for any reasons other than force majeure or those attributable to yourself, an order may be cancelled at your request under the conditions laid down in Articles L. 216-2 and L. 216-3 of the French Consumer Code. Sums paid at the time of your order will be returned to you within fourteen (14) days following the date the contract was terminated, excluding any compensation or deductions.

6.1.3. Home delivery methods

6.1.3.1. Home delivery

Products that can be shipped to your home by a carrier are identified on the site via a “home delivery” icon.

Home deliveries are handled by Chronopost or Colissimo, chosen by you. During summer, and as often as the temperature goes up, we will switch for chronofresh services wich offer a controlled temperature shipping.

We provide home deliveries in Metropolitan France, including Corsica.

Delivery charges, which depend on the total value of the goods in your basket, are indicated when you place your order.

Your order is monitored by the carrier who will send you an email when the parcel is collected from Jeff de Bruges and on its delivery to your home.

· Delivery deadlines

Delivery deadlines take into account the time it takes to prepare your order at our factory and the time required by the carrier to transport your order. Orders are received from Mondays to Fridays (excluding bank holidays), therefore orders placed on Saturdays and on Sundays are processed on Mondays or on Tuesdays, depending on available stocks.

Factory opening hours: Mondays to Fridays, excluding bank holidays.

Carrier working days: Mondays to Saturdays, excluding bank holidays.

Methods of delivery Maximum shipping costs Preparation times Transport times Delivery deadlines

Colissimo €8.00 1 – 2 working days 2 – 3 working days 3 – 5 working days

Chronopost €13.00 1 working day 1 working day 1 – 2 working days

Chronofresh €16.00 1 working day 1 working day 1 – 2 working days

· Delivery address

You are responsible for information relating to the name and address of the order’s recipient. These details must be precise, exact and complete (particularly the door code and floor, if applicable) so that your order can be delivered. Jeff de Bruges can in no way be held responsible for the return of an order due to an error in an address or the impossibility of delivering to the address indicated.

For all home deliveries, we ask you to ensure that the recipient or their representative is present on the day of delivery.

In the absence of the recipient or their representative, the carrier will leave a calling card at the delivery address, with instructions on how to proceed in order to collect the package within a specified deadline. If the recipient or their representative does not collect the package within this deadline, the package will be deemed to have been delivered and no refund or redelivery of the product to another address will be possible. For reasons also linked to the perishable nature of the product, it is strongly recommended that packages be collected from the collection point indicated by the carrier within 24 working hours; you will need to show the calling card and proof of identity. If a package is not collected within the aforementioned deadline, Jeff de Bruges cannot be held responsible for any damage to or deterioration of the products.

In the event that the delivery address indicated corresponds to a public institution (e.g. a hospital, etc.) or private establishment (business, clinic, retirement home, etc.) and the package cannot be delivered by hand to the recipient, the package will be deemed to have been delivered from the moment it is handed in at reception or to the service responsible for receiving goods. In addition, it is your responsibility to ensure that such an establishment will take delivery of your order. Indeed, in the event that an establishment refuses to receive your order, given the recipient’s failure to meet their obligations and the perishable nature of the product, the package will be deemed to have been delivered and no refund or redelivery of the order to another address will be possible.

During the summer, and whenever outside temperatures make it impossible to ensure delivery of orders in optimal condition, Colissimo and Chronopost services are suspended and replaced by Chronofresh.

6.1.3.2. Delivery by courier

When you place an order, you may be offered the option of delivery by courier, provided that:

- The products being ordered correspond to products indicated on the site by a “delivery by courier” icon;

- The delivery address that you have specified falls within the “delivery zone” of a Jeff de Bruges store located within Metropolitan France. You will be able to check the eligibility of the delivery address’s post code before you place your products in your basket.

- All the products that make up your order are in stock at the store in question.

The flat rate for this service is €12.

· Delivery deadlines

The deadlines for delivery by courier vary according to the service selected: delivery within a within a 2-hour time slot within a minimum of 24 working hours, or delivery on a given date within a given time slot. In the second case, you select a delivery date and time slot from amongst those offered, which can be up to 10 days after the date your order is validated.

· Delivery address

You are responsible for the details relating to the name and address of the order’s recipient. These details must be precise, exact and complete (particularly the door code and floor, if applicable) so that your order can be delivered. Jeff de Bruges can in no way be held responsible for the return of an order due to an error in an address or to the impossibility of delivering to the address indicated.

In the event that the delivery address indicated corresponds to a public institution (e.g. a hospital, etc.) or a private establishment (business, clinic, retirement home, etc.) and the package cannot be delivered by hand to the recipient, the package will be deemed to have been delivered from the moment it is handed in at reception or to the service responsible for receiving goods. In addition, it is your responsibility to ensure that such an establishment will take delivery of your order. Indeed, in the event that an establishment refuses to receive your order, given the recipient’s failure to meet their obligations and the nature of the products, the package will be deemed to have been delivered and no refund or redelivery of the order to another address will be possible.

For all deliveries by courier, we ask you to ensure that the recipient or their representative is present on the day of delivery. If the recipient of the order or their representative is not present, the order will be available for collection within 14 days at a Jeff de Bruges store; you

will receive an email containing these details. Beyond this deadline, given the recipient’s failure to meet their obligations and the nature of the products, the package will be deemed to have been delivered and no refund or redelivery of the order to another address will be possible.

6.2. Click & Collect

All products for sale on the site are also available on Click & Collect, subject to in-store stock availability.

When you place an order, you can opt to collect your order in one of our Jeff de Bruges stores. When you enter your town or postcode, you will be given a list of the nearest Jeff de Bruges stores that have all the products making up your order in stock.

This service is available seven (7) days per week during the opening hours of stores offering this service, except on days when they are closed. For all orders placed during the opening hours of the store you have selected, a preparation time of a minimum of two hours and up to two working days is required following the validation of your order.

Your order will be available in the store you have selected within a minimum of two hours following confirmation of your order and depending on the opening hours of the store you have selected. It must be collected within 14 days following the validation of your order. If you fail to present yourself at the store you have selected within this deadline, given the recipient’s failure to meet their obligations and the nature of the products, the package will be deemed to have been delivered and no refund or redelivery of the order to another address will be possible.

In the event of force majeure, the preparation time may be extended.

To collect your order, you must go to the checkout of the store you have selected and show valid proof of identity and the unique collection code sent to you by email, or your order confirmation if you do not have this code.

You are responsible for checking your order when you collect it.

For any questions concerning your Click & Collect order and its collection, you can contact us at this email address: contactonline@jeff-de-bruges.com

6.3 Risk transfer

Jeff de Bruges is insured against the loss and deterioration of products until the said products are delivered to their recipients. Delivery consists in making your order available at the address you have indicated for home delivery, or by hand in the case of Click & Collect orders.

ARTICLE 8: CLAIMS

Jeff de Bruges is committed to giving you complete satisfaction. In this context, should you wish to make a complaint, you may:

- send it by post to the postal address below;

- send it by email to the following address: contactonline@jeff-de-bruges.com ;

- or directly via our site “www.jeff-de-bruges.com” through the “Contact us” section or via the “Need help” button;

specifying the order number concerned, where applicable.

If a product has not been delivered, for any other reason than a case of force majeure or the above-mentioned cases (absence of the recipient, incorrect information, etc.), an order may be cancelled and the purchaser may obtain a refund of the cost of his order excluding any other form of compensation or damages, in accordance with Article L. 216-2 of the French Consumer Code. The purchaser must therefore initially instruct Jeff de Bruges, by registered letter with acknowledgement of receipt or via another written document on a durable medium (electronic message, for example) to deliver the product within a reasonable further deadline. Only in the event that Jeff de Bruges does not carry out the delivery within this new deadline may the purchaser, under the same terms, inform Jeff de Bruges that they are cancelling the order.

Refunds will be made using the same means of payment as those used when an order was placed, within 14 working days of our Consumer Services’ receipt of the purchaser’s letter or written document informing it of the cancellation of the order, unless the product has been delivered between the sending of the purchaser’s letter and its receipt.

When you place an order as a consumer, you benefit from the legal guarantee of conformity laid down in Articles L. 217-4 et seq. of the French Consumer Code.

You have two years from the delivery of the goods within which to act: you may choose between the repair or the replacement of the goods, subject to the cost conditions laid down in Article L. 217-9 of the French Consumer Code, and you are exempt from providing proof of the non-conformity of the goods during the two years following the delivery of the goods.

This legal guarantee applies independently of any commercial guarantee that may have been given.

You may also decide to implement the guarantee against hidden defects in goods as put forward in Article 1641 of the French Civil Code and, in this case, you may choose between the cancellation of the order and a price reduction in accordance with Article 1644 of the French Civil Code.

It is, however, expressly understood that, in accordance with Article 1 of these Conditions, the legal guarantee of conformity laid down in A L. 217-4 et seq. of the French Consumer Code does not apply to public or private legal entities, whether or not they are acting for professional purposes, or to natural persons acting for purposes that fall within their commercial, industrial, artisanal, professional or agricultural activities, including when they are acting in the name of or on behalf of another professional.

Returned products must be sent, accompanied by proof of purchase, to Jeff de Bruges Diffusion SAS — Parc du Bel Air, 12 avenue Joseph Paxton — 77164 Ferrières-en-Brie — FRANCE; please indicate whether you would like an exchange or a refund. To help us provide a better service, please indicate the reason for the return on the back of the delivery slip.

Refunds will be made using the same means of payment as those used when the order was placed. Refunds will be made within 30 days of receipt of your refund request.

In the event that the recipient of the order refuses to accept delivery for any other reason than a legitimate one (hidden defects, non-conformity), the order will not be refunded, except insofar as Article 4.3 of these Conditions applies.

Paying for the products finalises an order, subject to the application of Article 4.3. above, and Jeff de Bruges cannot be held responsible in the event of incomplete, insufficient or incorrect information relating to an order preventing its mandated carrier from being able to deliver it or leave a calling card.

Concerning the Jeff Club programme, Jeff de Bruges can in no way be held responsible in the event of the failure or poor performance of services to which members of the Jeff Club are entitled, should this be attributable to a member or to the unforeseeable or insurmountable fact of a third party to these conditions, or due to a case of force majeure. Jeff de Bruges will nevertheless do its best, in the event of a malfunction in the Jeff Club programme, to ensure that each of its members retains the benefits of its offers.
